These Terms & Conditions (the “Terms”) govern your access to and use of the PromptLayer website, applications, and services (collectively, the “Service”), operated by Sam Benson, trading as PromptLayer (“PromptLayer”, “we”, “us”, or “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility & accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the information you provide, for all activity that occurs under your account, and for keeping your login credentials confidential. Notify us promptly of any unauthorized use of your account.
2. Acceptable use
You agree not to:
- use the Service in violation of any applicable law or regulation;
- infringe the intellectual property or privacy rights of others;
- upload malicious code or attempt to disrupt, overload, or gain unauthorized access to the Service;
- reverse engineer or resell the Service except as permitted by law; or
- use the Service to send unlawful, harmful, or abusive content.
3. Your data
You retain ownership of the data and telemetry you submit to the Service (“Customer Data”). You grant us a limited license to host, process, and display Customer Data solely to provide and improve the Service. You are responsible for ensuring you have the rights to submit Customer Data and that doing so does not violate any law or third-party right. Our handling of personal data is described in our Privacy Policy.
4. Intellectual property
The Service, including its software, design, and content (excluding Customer Data), is owned by PromptLayer and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. All rights not expressly granted are reserved.
5. Fees & billing
Paid plans are billed in advance on a recurring basis according to the pricing in effect when you subscribe. Fees are non-refundable except as required by law. We may change pricing on reasonable notice; changes apply to the next billing cycle. You are responsible for any applicable taxes.
6. Third-party services
The Service may integrate with or link to third-party products and services. We are not responsible for third-party services, and your use of them is governed by their own terms and policies.
7. Communications & product updates
By creating an account you consent to receive service-related emails (such as verification, billing, and security notices) and product update emails about new features and improvements. You may opt out of non-essential product update emails at any time using the unsubscribe link in those emails or by contacting us. We will continue to send essential service emails.
8. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
9. Limitation of liability
To the maximum extent permitted by law, PromptLayer will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data. Our total liability arising out of or relating to the Service will not exceed the amount you paid us in the twelve months preceding the claim.
10. Indemnification
You agree to indemnify and hold PromptLayer harmless from any claims, damages, or expenses arising out of your Customer Data, your use of the Service, or your violation of these Terms.
11. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms or if necessary to protect the Service or other users. Upon termination, your right to use the Service ends; sections intended to survive (such as intellectual property, disclaimers, and limitation of liability) will remain in effect.
12. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
13. Governing law
These Terms are governed by the laws of England and Wales, without regard to its conflict-of-laws rules. The courts of England and Wales will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except that if you are a consumer you may also be entitled to bring proceedings in the courts of the part of the United Kingdom in which you live.
